Terms of Service
These Terms of Service (“Terms”) govern access to and use of datasite (the “Service”) provided by DeBlasio New Media Marketing (“we”, “us”, “our”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms and our Privacy Policy.
1. The Service
datasite is a client portal for DeBlasio New Media customers and their authorized team members. It may include dashboards and tools that display data from connected services (for example Google Analytics 4, Google Search Console, and Google Ads) when staff have configured integrations for your company.
Access is generally by invitation only. We may change, suspend, or discontinue features at any time.
2. Accounts and eligibility
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your credentials and for activity under your account.
- You must be authorized to act on behalf of the organization you join (for example as an owner, employee, or contractor with permission from the business).
- Staff accounts are limited to DeBlasio New Media personnel and are subject to additional internal policies.
3. Google and third-party services
Some features require connecting a Google account or using Google sign-in. When you or your staff authorize those connections, you instruct us to access Google data as described in our Privacy Policy and only to provide the Service.
Your use of Google products is also subject to Google’s terms and policies. You may revoke access at any time through Google’s account permissions page and through disconnect controls in the Service.
Analytics, Search Console, and Ads metrics are provided for informational purposes. We do not guarantee accuracy, completeness, or real-time availability of third-party data.
4. Acceptable use
You agree not to:
- Use the Service unlawfully or in violation of these Terms.
- Attempt to gain unauthorized access to accounts, organizations, or systems.
- Reverse engineer, scrape, or overload the Service except as permitted by law.
- Misuse Google or other third-party APIs, credentials, or data obtained through the Service.
- Upload malware or interfere with other users’ access.
5. Client data and roles
Organizations may have owners and members with different permissions. Owners may invite or remove members for their company. Staff users may configure integrations and dashboards on behalf of client companies as part of DeBlasio New Media’s services.
You represent that you have the rights and permissions necessary for us to process data you connect or upload for your organization.
6. Intellectual property
We retain all rights in the Service, including software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in connection with DeBlasio New Media’s engagement with your organization.
Third-party trademarks (including Google) belong to their respective owners.
7. Confidentiality
Non-public information about your business or campaigns visible in the Service should be treated as confidential by your users. We treat client information as confidential subject to our Privacy Policy and applicable agreements.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEBLASIO NEW MEDIA MARKETING AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if your organization’s engagement with us ends. Provisions that by nature should survive (including disclaimers, limitations of liability, and governing law) will survive termination.
11. Changes
We may update these Terms. We will post the revised Terms on this page and update the effective date. Continued use after changes become effective constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules, except where prohibited by applicable law.
